Satellite Symposia - Terms & Conditions

Please read the following terms and conditions and indicate your acceptance at the end.

1 DEFINITIONS

In these terms and conditions:

“Annual Scientific Meeting”

means the Annual Scientific Meeting of the British Society for Haematology;

“Company”

means BSH Conferences Limited;

“Organisers”

means the person, firm or company organising the meeting on behalf of the Company;

“Premises”

refers to those portions of EICC used for the Annual Scientific Meeting;

“Satellite Symposium”

means a programme of speakers organised by the Symposium Organiser at the Annual Scientific Meeting;

“Symposium Organiser”

means any person, firm, company or other body who is accepted by the Company to organise a Satellite Symposium.

2 APPLICATION OF THESE CONDITIONS

These terms and conditions apply to an offer by the Symposium Organiser to organise a Satellite Symposium which is accepted in writing by the Company.

3 DELIVERY OF SATELLITE SYMPOSIUM

3.1 The Symposium Organiser shall at its cost arrange the speakers for, and deliver, the Satellite Symposium at the Premises on the day and times specified in the Company’s acceptance.

3.2
The Symposium Organiser shall not broadcast, televise or otherwise record any person speaking at its Satellite Symposium without the express written consent of that person and the Company.

3.3
The Symposium Organiser shall procure that all speakers comply with any speaker guidance notes issued by the Company.

3.4
The Symposium Organiser shall not substitute any speakers or alter any of the programme titles without the prior written consent of the Company.

3.5
The Symposium Organiser shall not, and shall procure that speakers shall not, make any representations about the Company or the British Society for Haematology without the Company’s written consent.

4 COMPANY’S OBLIGATIONS

4.1
The Company shall provide the room at the Premises as specified in its acceptance and such audio visual equipment for speakers at the Satellite Symposium as are made available to other speakers at the Annual Scientific Meeting.

4.2
The Symposium Organiser shall be responsible at its cost for providing any other equipment it may need, subject to complying with any electrical requirements as notified by the Company.

5 ADVERTISING

A Symposium Organiser may not, except by express written permission of the Organisers, display or give credit directly or indirectly to any goods, products or services other than its own or its named principal’s. The display or acknowledgement or credit or advertisement indicating membership of any organisation, society or trade association is not allowed except by express written permission of the Organisers.

6 TERMS OF PAYMENT

6.1
In return for the right to deliver the Satellite Symposium, the Symposium Organiser shall pay the fee to the Company as confirmed in the Company’s acceptance. Final payment in full is due by Friday 16th April 2010. All payments must be made by cheque or bankers draft drawn on a UK bank in STERLING ONLY and made payable to BSH Conferences Ltd.

6.2
The Company has no liability for the expenses or fees of speakers engaged by the Symposium Organiser.

7 CANCELLATION

A Symposium Organiser cancelling its Satellite Symposium once its offer has been accepted in writing by the Company is liable to pay immediately on cancellation the total fee (less any amounts already paid) unless the Company accepts another Symposium Organiser, in return for a fee payable to the Company, to deliver a Satellite Symposium at the same times.

8 BANKRUPTCY OR LIQUIDATION

In the event of a Symposium Organiser failing to pay any sum due to the Company on the due date or becoming bankrupt or entering into liquidation (other than voluntary liquidation for the purpose of amalgamation or reconstruction) or having a receiver of any description or an administrator appointed, the contract with such Symposium Organiser will terminate forthwith, the right to deliver the Symposium Programme will be cancelled and all sums paid by the Symposium Organiser under the contract shall be forfeit.

9 HEALTH AND SAFETY

The Symposium Organiser must comply with any health and safety and other rules and regulations governing the use of the Premises which the Organisers may notify to it.

10 LIABILITY

10.1
A Symposium Organiser will be responsible for all the damage to property and for any loss or injury caused by them or their employees agents or contractors and will indemnify the Organisers and the Company against all claims and expenses arising therefrom. In the event of it being necessary for any reason whatsoever (including but not limited to the Premises being or becoming unavailable for any reason whatsoever or the Annual Scientific Meeting being prevented from taking place due to a reason beyond the Company’s reasonable control or due to a breach of contract by a third party) for the Satellite Symposium organised by the Symposium Organiser to be abandoned postponed or altered in any way in whole or in part or if the Organisers find it necessary to change the dates of the Annual Scientific Meeting the Organisers shall not be liable for any expenditure loss or damage incurred by the Symposium Organiser directly or indirectly arising from that change nor shall the Organisers and/or the Company be liable for any expenditure loss or damage resultant upon the lawful intervention of any third party which restricts the use of the Premises in whole or in part in any manner whatsoever. Any claim against the Organisers or the Company arising from the Satellite Symposium (whether or nor arising under this contract) must be notified in writing to the Organisers within six calendar months from and including the day of the Satellite Symposium and neither the Organisers nor the Company shall be liable to any Symposium Organiser:

10.1.1
for any purely economic loss for consequential or indirect losses or for any loss of profit or opportunity;

10.1.2
for any loss which they themselves are unable to recover from any third party (in circumstances where it was the act, omission, negligence or default of that third party which gave rise to the claim against the Organisers or the Company) or from any insurer (where the claim is insured);

10.1.3
for any loss exceeding a sum equal to the total of such sums (excluding Value Added Tax) as the Symposium Organiser may have actually paid under this contract at the time the claim is so made.

11 GENERAL CONDITIONS

11.1
The Organisers are responsible for the control of the Premises. The decision of the Organisers is final and decisive on any question not covered in the foregoing terms and conditions. A Symposium Organiser must comply in all respects with the requirements of every competent authority, the terms of agreement by which the Organisers or the Company may occupy the Premises and with policies of insurance effected by the Organisers so far as they relate to the activities of the Symposium Organiser under this contract and where any of them conflict with those terms and conditions they shall override those terms and conditions. A Symposium Organiser will fully and effectively indemnify the Organisers and the Company against all costs expenses liabilities claims and demands arising from:

11.1.1
breach of any of their obligations under this contract;

11.1.2
claims by third parties for breach or infringements of any intellectual property rights, right of confidence or confidentiality or for libel or slander arising from the production use or distribution of any document information or material (written or unwritten) provided used or distributed by the Symposium Organiser or speakers engaged by it during the course of its activities under this contract and this indemnity shall extend also to the British Society for Haematology;

11.1.3
any liability of the Organisers or the Company to third parties to the extent that it arises from any act omission negligence or default on the part of the Symposium Organiser.

In particular, and without limiting the above, a Symposium Organiser will strictly observe and perform and give all notifications and information required by the Organisers or the owners or hirers of the Premises under the terms of the Licence Agreement and regulation under which the Organiser or the Company is permitted to use the Premises.

11.2
A person who is not a party to this contract shall not have any rights under or in connection with it (except for the British Society for Haematology in respect of its indemnity under term 11.1).

12 GOVERNING LAW

These terms and conditions shall be governed by, and construed in accordance with, the laws of England.
